Terms of Service

1. Acceptance of terms

By creating an account, signing up for a trial, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are accepting these Terms on behalf of a school or other organization ("School"), you represent that you have the authority to bind that School to these Terms.

2. Description of the service

Skolex provides a cloud-based school management platform covering areas such as admissions, attendance, fee management, and communication between schools, teachers, students, and parents. We may add, change, or remove features from time to time as the Service evolves.

3. Eligibility and account registration

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account on behalf of a School. You are responsible for providing accurate registration information and for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account.

4. School and user responsibilities

As a School or authorized user of the Service, you agree to:

• Use the Service only for lawful purposes and in accordance with these Terms;
• Obtain any consents required by applicable law before entering student, staff, or parent data into the Service, including parental consent where required for minors;
• Maintain the accuracy of data you input and promptly correct or remove data as needed;
• Not attempt to gain unauthorized access to the Service, other accounts, or underlying systems and networks; and
• Not use the Service to transmit malicious code, spam, or content that infringes the rights of others.

5. Subscriptions, fees, and billing

Certain features of the Service require a paid subscription as described on our Pricing page. Free trials, where offered, convert to a paid subscription or expire at the end of the trial period as described at signup. Fees are billed in advance on a recurring basis and are non-refundable except as required by law or expressly stated at the time of purchase. We may change our fees with reasonable advance notice; continued use of the Service after a fee change constitutes acceptance of the new fees.

6. Data ownership

As between Skolex and a School, the School retains all rights, title, and interest in the data it submits to the Service, including student, staff, and parent records ("Customer Data"). We use Customer Data only to provide and improve the Service in accordance with our Privacy Policy and any applicable data processing agreement, and will make Customer Data available for export on reasonable request.

7. Intellectual property

The Service, including its software, design, text, graphics, and the Skolex name and logo, is owned by Skolex or our licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your School's internal operations. You may not copy, modify, reverse-engineer, or create derivative works of the Service except as permitted by law.

8. Third-party services

The Service may link to or integrate with third-party websites and services (such as payment processors) that are not owned or controlled by Skolex. We are not responsible for the content, privacy practices, or terms of any third-party services.

9. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate access to the Service if you materially breach these Terms, fail to pay applicable fees, or if we reasonably believe your use poses a security or legal risk to Skolex or other users. On termination, your right to use the Service ceases, and we will make reasonable efforts to allow export of Customer Data for a limited period as described in our Privacy Policy.

10. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

11. Limitation of liability

To the maximum extent permitted by law, Skolex and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from or related to your use of the Service. Our total liability for any claim arising out of these Terms or the Service will not exceed the amount you paid us for the Service in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold Skolex harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Service.

13. Governing law

These Terms are governed by the laws of Pakistan, without regard to conflict of law principles, unless otherwise required by applicable local law where you are located.

14. Changes to these terms

We may update these Terms from time to time. We will post the updated version on this page and revise the "Last updated" date above. Material changes will be communicated through the Service or by email where appropriate. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
